1. Definitions:

(a) Application Form means the Membership application form prescribed by the UPA for becoming a Member;

(b) Booking means the act of securing a benefit offered as part of a Membership tier, including payment, if applicable;

(c) Joining Fee means the ‘one off’ fee payable upon approval of a Membership;

(d) Member means person who becomes a social UPA member pursuant to the UPA’s approval of an Application Form;

(e) Membership means the act and process of being a Member, during which time the Member is entitled to certain Membership benefits, and is bound by these Terms & Conditions;

(f) Membership Period means one (1) year from the first Membership payment date:

(a) PEA means Polo Events Australia Pty Limited;

(b) Renewal Fee means the annual fee payable by a Member to renew an existing Membership;

(g) Terms & Conditions means the contents of this document which govern Membership; and

(h) UPA means Urban Polo Association Limited.

2. Fees Payable by Members:

(a) the UPA shall determine, from time to time, the Joining Fee, Renewal Fee and any other fees payable by Members; and

(b) the UPA is entitled to charge a Member to replace his Membership cards.

3. Members Guests:

(a) Members are entitled to bring guests to UPA related events, in accordance with the benefits attributable to the various Membership tiers, providing they are accompanied by the Member;

(b) Member’s guest access may be limited and subject to availability based on the ‘first in time’ principle, or as otherwise prescribed in the various Membership tiers and promotions;

(c) requests for guest attendance in excess of the quota allocated by the specific Membership entitlement will be subject to the UPA’s absolute discretion;

(d) Member’s guests are required to comply with the Member Conduct requirements outlined in these Terms & Conditions.

4. Referrals

(a) Members may refer unlimited prospective Members to the UPA; and

(b) Members acknowledge that a referral will not automatically ensure an approval, and that all Membership Applications are subject to the usual consideration by the UPA.

5. Membership Non-Transferrable

(a) Membership is non-transferrable;

(b) a Member must carry the Membership Card in order to gain access to Membership benefits at UPA related events and functions; and

(c) a Member must not allow his/her Membership Card, or Membership status and/or number, to be used by a third party.

6. Cancellation of Membership

Once validly issued, a Member may cancel his/her Membership at any time:

7. Refund of Membership Fee

The Membership Fee, once paid pursuant to Membership approval, is non-refundable under any circumstances.

8. Renewal of Membership

(a) the UPA will advise Members of their renewal date;

(b) a Member may annually apply to renew his/her Membership upon the terms and conditions applicable at that time;

(c) the UPA reserves its full rights not to renew a Membership, in respect of which its decision is final and no reasons need to be provided; and

(d) Membership will be automatically terminated upon non-payment by renewal date.

9. Members Details & the UPA Privacy Policy

(a)Members must provide the UPA with the following personal details:

(i) full name;

(ii) date of birth;

(iii) sex;

(iv) postal address; and

(v)email.

(b) it is the Member’s responsibility to updated their personal details with the UPA, and the UPA is not responsible for any information not reaching the Member in circumstances where current details have not been provided to the UPA;

(c) Members understand and agree that their details are collected on behalf of, and supplied to, PEA, which may contact Members directly;

(d) Members understand and agree that while attending events and functions pursuant to their Membership benefits, they may be photographed or interviewed by the media, and that this content may be used by the UPA and/or PEA, for marketing, advertising, publicity or public relation purposes; and

(e) the UPA will otherwise handle your personal details in accordance with its Privacy Policy.

10. Membership Preference System

(a) All Membership offers, marquee and ticket quotas will be offered in preferential order to Foundation Members, Sponsors, Corporate Members, Premium Members and Social Members, subject to availability, and on a ‘first in time’ basis for each round of offers.

(b) The following marquee and ticket Membership quotas will apply to the following hospitality options per event:

(i) a maximum of 40 to 75 Corporate Marquees, depending on venue and producer discretion;

(ii) a maximum of 150 VIP Tickets; and

(iii) a maximum of 200 to 1,500 Polo Lounge tickets, depending on venue and producer discretion.

11. Membership Tiers & Benefits

(a) Social Membership

(i) access to limited Polo Lounge ticket quota prior to public release; and

(ii) complimentary subscription to the online luxury, travel & lifestyle ‘Polo Journal’ magazine; and

(iii) general news and updates.

(b) Premium Member

(i) opportunity to purchase up to ten (10) x VIP Tickets;

(ii) four (4) complimentary Polo Lounge tickets each year;

(iii) access to discounted Polo Lounge ticket quota prior to public release;

(iv) two (2) complimentary drinks each year in the Polo Lounge;

(v) access to express VIP service lane in Polo Lounge;

(vi) access to Corporate Marquees prior to public release;

(vii) preferential marquee positioning (after Foundation Members, Sponsors and Corporate Members);

(viii) access to limited special functions, deals & offers from sponsors and program partners;

(ix) access to limited international VIP event offers with affiliated international polo events;

(x) complimentary subscription to the online luxury, travel & lifestyle ‘Polo Journal’; and

(xi) general news and updates.

(c) Corporate Member

Corporate Membership is only available to corporate entities.

(i) complimentary 30 pax Corporate Marquee at a chosen event;

(ii) access to Corporate Marquees prior to public release;

(iii) preferential marquee positioning (after Foundation Members and Sponsors);

(iv) opportunity to purchase up to twenty (20) x VIP Tickets at each event;

(v) access to limited special functions, deals & offers from sponsors and program partners;

(vi) access to limited international VIP event offers with affiliated international polo events;

(vii) complimentary subscription to the online luxury, travel & lifestyle ‘Polo Journal’; and

(viii) general news and updates.

(d) Foundation Member

There are only 10 Foundation Memberships available per state.

(i) life membership

(ii) 5 x complimentary VIP Marquee tickets per year for an event of choice;

(iii) option to purchase an additional 5 x VIP Tickets per year for an event of choice;

(iv) first access to Corporate Marquees prior release to remainder of Membership tiers and/or public release;

(v) preferential marquee positioning;

(vi) first access to limited quota of discounted Polo Lounge tickets prior their release to remaining Membership tiers and/or public release;

(vii) access to express VIP service lane in Polo Lounge;

(viii) first access to limited special functions, deals & offers from sponsors and program partners, prior their release to remaining Membership tiers;

(ix) first access to limited international VIP event offers with affiliated international polo events prior their release to remaining Membership tiers;

(x) complimentary subscription to the online luxury, travel & lifestyle ‘Polo Journal’; and

(xi) general news and updates

12. Member Conduct:

(a) the UPA may suspend or terminate a Membership where the Member behaves in a manner which is inconsistent with standards embraced by the UPA, which may include:

(i) any breach of these Terms & Conditions;

(ii) being intoxicated, disorderly or under the influence of illicit substances at any UPA related event or function;

(iii) engaging in offensive, discriminatory or anti-social behaviour at any UPA related event or function; and

(iv) failure to comply with the reasonable direction of any UPA and/or PEA employee, contractor or delegate, at a UPA related event or function.

13. Bookings

(a) in order to take advantage of offers or benefits made available to Members by the UPA, from time to time, the Member must take the steps prescribed by any notification, or Newsletter, issued by the UPA and/or PEA, by the prescribed time and date;

(b) all Bookings will operate on a ‘first in time’ basis, unless otherwise indicated in the applicable promotion; and

(c) Booking cancellations are refundable only at the discretion of the UPA.

14. Disclaimer

(a) to the extent permitted by law, the UPA and PEA excludes any liability to Members and their guests in contract, tort and statue for any injury, damage or loss of any kind whatsoever (including, without limitation for direct, indirect, special or consequential loss or damage) sustained by the Member or guest for any costs, charges or expenses incurred by the Member or guest arising from, or in connection, with these Terms & Conditions, or the use of any event venue;

(b) if any act. Omission or circumstance occurs which is beyond the reasonable control of the UPA which prevents it from complying with these Terms & Conditions, the UPA will not be liable for failure to perform or delay in performing its obligations and the UPA reserves its right to cancel, terminate, modify or suspend the Membership, or any aspect thereof; and

(c) the UPA makes no representations or warranties as to the quality, suitability or merchantability of any goods or services offered as part of the Membership benefits. The UPA, PEA and their related bodies corporate, associates and their officers and agents, employees and sponsors will not be liable for any loss, damage, costs or personal injury whatsoever (including but not limited to direct, indirect and consequential loss, or loss of profit, or any other economic loss) suffered or sustained by any person or property, by reason of any act or omission, deliberate or negligent, in connection with the Membership, the promotion and advertising of the UPA or PEA events, except for any liability that cannot be excluded by law.

15. General

(a) if any provision of these Terms & Conditions shall be invalid and unenforceable in accordance with its terms, all other provisions which are self-sustaining and capable of separate enforcement without regard to the invalid provisions shall be and continue to be valid and enforceable in accordance with their terms;

(b) save as provided herein, these Terms & Conditions constitutes the entire agreement between the parties with respect to the subject matter hereof and all prior oral or written agreements understandings and negotiations between the parties with respect thereto are hereby superseded and of no further force or effect and none of the parties have relied on any representation or warranty save as is expressly stated in this agreement; and

(c) these Terms & Conditions shall be construed in accordance with and be governed by the laws of the State of New South Wales and the parties agree to submit themselves to the jurisdiction of the Courts of that State.
